I. Procedural History
On June 25, 2010, North Shore Gas Company (“North Shore” or “NSG”) and The Peoples Gas Light and Coke Company (“Peoples Gas” or “PGL”), (collectively, the “Utilities”), filed a Petition for approval of an Affiliated Interest Agreement (“Agreement”). The proposed Agreement is among Integrys Energy Group, Inc. (“Integrys”), a public utility holding company, Integrys Business Support, LLC (“Integrys Support”), a wholly-owned centralized service company subsidiary of Integrys, and other regulated and non-regulated subsidiaries of Integrys, including North Shore and Peoples Gas.
On October 29, 2010, the Utilities filed a Motion for Leave to File Testimony and also filed the Direct Testimony (NS-PGL Ex. 1.0) and Exhibits (NS-PGL Exs. 1.1 and 1.2) of Linda M. Kallas. Ms. Kallas is Vice President - Finance and Accounting Services of Integrys Support. The Administrative Law Judge granted the Motion on October 29, 2010. On November 5, 2010, the Illinois Commerce Commission (“Commission”) Staff filed the Direct Testimony of Dianna Hathhorn (ICC Staff Ex. 1.0). Ms. Hathhorn is an Accountant in the Commission’s Financial Analysis Division, Accounting Department.
An evidentiary hearing was held on November 10, 2010. Admitted into the record, by affidavit, were the Direct Testimony and Exhibits of Linda M. Kallas and the Direct Testimony of Dianna Hathhorn. At the close of the hearing, the record was marked “Heard and Taken.”
The Utilities submitted a draft proposed order to Staff for review which was later filed on the Commission’s e-docket system on December 1, 2010.
